S-corp in San Antonio: settled upstream, not corrected in April.

Most of what looks like a tax problem in April was a structure question the year before. The S-corp election is the clearest case.

The structure

Done right, it lowers tax. Done alone, it creates the problem.

An S-corp can lower self-employment tax on business profit. That only holds with a reasonable salary, payroll that actually runs, and books clean enough to trace basis and distributions.

I look at whether it fits your numbers first. If it doesn’t, you’ll hear that in the first email, along with what would.

Before year-endSalary, retirement contributions and depreciation decisions all have deadlines. They get settled while there’s still time.

Questions

What people ask first.

Is an S-corp always better than an LLC?

No. The savings depend on profit, the salary it takes to be reasonable, and the added payroll and filing cost. Below a certain profit, it can cost more than it saves. We compare it on your numbers.

What is reasonable compensation?

The IRS expects an S-corp owner who works in the business to take a salary that fits the work before taking distributions. We set a figure you can defend and run it through payroll.

When does the election have to be filed?

Form 2553 is generally due no later than two months and 15 days after the start of the tax year it should apply to. Late elections can sometimes be fixed, which is part of what we check.

Do you prepare the owner’s personal return too?

Yes, and that’s the point: the K-1 from the 1120-S flows into your 1040, so both are prepared together.
